Terms of Service

1. Acceptance of Terms

By accessing or using Capsole ("the Platform"), you agree to be bound by these Terms of Service. Capsole is a product of Capsole LLC ("the Company"). These terms constitute a legally binding agreement between you and the Company.

2. Fair Use Policy (FUP)

Our "Unlimited" plans are designed for high-volume human agency use. To prevent automated abuse and ensure performance, the following Fair Use Policy applies:

  • Soft Cap: Agency tiers are subject to a soft cap of **250 project scopes generated per month**.
  • Enforcement: Usage consistently exceeding this threshold will trigger an account review. We reserve the right to transition high-volume accounts to an Enterprise Custom Plan.
  • Restrictions: Use of automated scripts, bots, or any form of scraping is strictly prohibited and will result in immediate termination.

3. Intellectual Property

Our Property:The Platform, including the "Agency DNA" logic, algorithms, UI/UX, and estimation engines, are the exclusive property of the Company.

Your Property: Any project data, client information, or specific scope content generated using the Platform belongs to you. You grant the Company a limited license to process this data solely for the purpose of providing the service.

4. Subscriptions and Refunds

Billing is handled via Stripe. Monthly and Yearly subscriptions are billed in advance and are non-refundable. Lifetime (LTD) plans are one-time payments that grant access to the core platform for the life of the product. AI-related maintenance terms for LTD plans are disclosed at the point of sale.

5. Limitation of Liability & Disclaimers

Capsole provides estimation tools based on logic and AI. While we aim for high accuracy, the Platform is provided "as is."

  • We do not guarantee that using the Platform will result in won project bids.
  • We are not liable for financial losses, project delays, or under-estimations resulting from the use of the Platform.
  • Final verification of all scope, pricing, and technical details is the sole responsibility of the User.

6. Electronic Signatures & Audit Trail

Capsole provides a professional-grade electronic signature workflow designed to create high-integrity agreements between agencies and their clients. By utilizing this feature, you acknowledge the following:

  • Cryptographic Integrity: For every signed document, the Platform generates a unique cryptographic hash and a server-side audit record. This record captures the signer's typed name, precise timestamp, IP address, device fingerprint, and a secure signature token. This provides a robust, verifiable link between the signer and the specific version of the document at the moment of execution.
  • Professional Convenience: This feature is built to streamline the "Close" phase of the agency workflow. While it provides a significant evidentiary trail, it is not a third-party certified electronic signature service (such as DocuSign or Adobe Sign). It is designed to facilitate binding mutual intent between sophisticated parties in a professional context.
  • Legal Compliance: You are responsible for ensuring that this method of execution meets the specific legal requirements of your jurisdiction, industry, and contract value. Capsole does not provide legal advice, and we recommend consulting with counsel for high-stakes or regulated agreements to ensure your specific use case is fully covered under local ESIGN/UETA or similar statutes.
  • Document Permanence: The audit trail and document hash remain stored in our secure infrastructure. Capsole is not liable for subsequent disputes regarding identity or enforceability, but will provide the stored audit record upon request to the account owner to support the resolution of such disputes.

7. Termination

We reserve the right to suspend or terminate your access to the Platform at our discretion, without notice, for conduct that we believe violates these Terms, including but not limited to Fair Use abuse, non-payment, or unauthorized scraping.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions.
